Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the TinyFox platform, website, and related services ("Service"). By using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service description

TinyFox provides AI governance infrastructure, including audit trail logging, cost attribution, PII detection and blocking, policy enforcement, compliance reporting, and related tools. The Service operates as a proxy between your applications and AI model providers.

3. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend accounts that violate these Terms.

4. Data ownership

You retain full ownership of all data you submit to or process through the Service, including AI request and response data, audit logs, and configuration settings ("Your Data"). We do not claim any ownership rights over Your Data.

You grant us a limited license to process Your Data solely to provide and improve the Service. We will not use Your Data to train AI models, share it with third parties for their own purposes, or access it except as necessary to operate the Service or as directed by you.

5. Acceptable use

You agree not to:

• Use the Service to violate any applicable law or regulation
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without our written consent

6. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control, including third-party AI provider outages.

7. Payment and billing

Paid plans are billed according to the terms agreed upon during onboarding. All fees are non-refundable unless otherwise stated in your service agreement. We reserve the right to modify pricing with 30 days' written notice.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party. This includes Your Data, our proprietary technology, pricing details, and business information. Confidentiality obligations survive termination of these Terms for a period of two years.

9. Limitation of liability

To the maximum extent permitted by law, TinyFox's total liability under these Terms shall not exceed the amount you paid for the Service in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunities.

10. Indemnification

You agree to indemnify and hold TinyFox harmless from any claims arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

11. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, you may export Your Data for up to 30 days, after which it will be permanently deleted from our systems.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
